Gilead acquires LMU spin-off Tubulis for up to 5 billion US dollars

The US biopharmaceutical company Gilead Sciences is acquiring the Munich-based biotech company Tubulis GmbH. The transaction is valued at up to $5 billion and strengthens Gilead’s oncology pipeline with innovative, next-generation antibody-drug conjugates (ADCs).

Tubulis was spun off in 2019 from the Leibniz Research Institute for Molecular Pharmacology (FMP) in Berlin and the Ludwig Maximilian University of Munich (LMU). The company is developing tailor-made ADCs that are intended to deliver active ingredients to tumor cells in a more targeted and stable manner. The core of the technology is the P5 conjugation technology developed at the FMP, which enables the precise linking of antibodies with highly potent active ingredients.

As part of the acquisition, Gilead will acquire the lead product candidate TUB-040, a NaPi2b-directed ADC with topoisomerase I inhibitor, which is currently in Phase 1b/2 for the treatment of platinum-resistant ovarian cancer and non-small cell lung cancer (NSCLC). In addition, Gilead is acquiring TUB-030, a 5T4-directed ADC with early clinical data in various solid tumors, as well as the entire ADC platform and early pipeline of Tubulis.

The purchase price is $3.15 billion in cash on a cash-free, debt-free basis, plus up to $1.85 billion in performance-based milestone payments. The transaction is expected to close in the second quarter of 2026 and is subject to regulatory approvals.

After the acquisition, Tubulis will continue to operate as an independent ADC research organization within Gilead. The Munich location will serve as a hub for ADC innovations.
